LEGACY LOGIC

Welcome to Legacy Logic. These Terms of Service ("Terms") govern your access to and use of the services provided by Legacy Logic ("Legacy Logic," "we," "us," or "our"), including AI-powered business automation, workflow design, and related consulting services. By engaging our services or using our website, you agree to be bound by these Terms.

1. Description of Services

Legacy Logic provides AI-powered automation services that help small businesses modernize their operations, including but not limited to workflow automation, AI chatbots, lead follow-up systems, and related tools, built using platforms such as GoHighLevel, Claude (Anthropic), and other third-party software.

2. Eligibility

Our services are intended for individuals and businesses located within the United States who are at least 18 years old and have the legal capacity to enter into a binding contract. By using our services, you represent that you meet these requirements.

3. Payment Terms

Fees vary by project. Some services are billed as a one-time, upfront project fee; others are billed as a recurring monthly fee. All fees are due as invoiced.

Refunds: Because our services involve significant time, customization, and third-party costs, fees are generally non-refundable once work has begun. We may, at our sole discretion, issue a partial or full refund on a case-by-case basis where we have failed to deliver the agreed service. Refund requests based on a change of mind, dissatisfaction with subjective creative or strategic decisions, or failure to use a completed deliverable are not eligible for refund.

Billing and late payments: If a scheduled payment fails, we will attempt to retry the charge. If payment is not successfully collected within 10 business days, we reserve the right to suspend or cancel the applicable services until the account is brought current.

4. User Responsibilities and Acceptable Use

By using our services, you agree that you will not:

Use our services for any unlawful purpose or in violation of any applicable law or regulation.

Infringe on the intellectual property rights of Legacy Logic or any third party.

Attempt to interfere with, disrupt, or gain unauthorized access to our systems or the systems of our third-party providers.

Misrepresent your identity or authority to act on behalf of a business when engaging our services.

You are responsible for the accuracy of any information and content you provide to us for use in building your automations, and for ensuring your own use of the delivered systems complies with applicable law.

5. AI-Specific Acceptable Use and Disclaimers

You may not use our services or any AI tools we provide or configure on your behalf to:

Generate illegal, defamatory, discriminatory, or infringing content.

Attempt to reverse-engineer, extract, or replicate the underlying AI models, prompts, or systems we use.

Resell, sublicense, or provide third-party access to the AI tools or automations we build without our prior written consent.

Violate the acceptable use policies of our underlying technology providers, including Anthropic.

Engage in excessive or abusive use that degrades the service for other users.

AI-generated content and automated outputs may occasionally contain errors, inaccuracies, or unexpected results. You are responsible for reviewing and verifying any AI-generated content or automated decision before relying on it for business-critical purposes. We are not responsible for outcomes resulting from your reliance on AI-generated outputs without independent review.

6. Intellectual Property

Our frameworks and methods: Legacy Logic retains full ownership of its proprietary systems, templates, workflows, source code libraries, and methodologies used to build client deliverables. We may reuse and adapt these general components for other clients.

Your content: You retain full ownership of your own business data, content, and materials that you provide to us.

Your deliverables: Upon full payment, you receive a license to use the specific automation, workflow, or system built for your business for your internal business purposes. This license does not transfer ownership of the underlying frameworks described above.

AI-generated outputs: Outputs generated specifically for your business as part of your engagement belong to you, subject to the underlying terms of the AI tools used to generate them (e.g., Anthropic's terms of service).

7. Company Rights

We reserve the right to:

Suspend or terminate your access to our services, in whole or in part, for non-payment, violation of these Terms, unlawful use, or misuse of the AI tools we provide.

Modify, update, or discontinue any part of our services at our discretion, with reasonable notice where practical.

Suspend or discontinue our business operations, in which case we will make reasonable efforts to notify active clients in advance.

8. Termination

You may cancel ongoing services at any time by providing written notice to us. Cancellation takes effect at the end of the period you have already paid for; no partial-period refunds will be issued for early cancellation.

We may suspend or terminate your access to our services, and to any third-party platforms used to deliver them (including GoHighLevel), immediately and without notice in cases of non-payment or violation of these Terms. Whether you retain access to a given third-party platform after termination depends on how that platform's account is structured for your specific engagement; unless otherwise agreed in writing, continued access to such platforms after termination or non-payment is not guaranteed. Contact us directly to discuss data export or account transition before cancelling.

9. Limitation of Liability

To the fullest extent permitted by law, Legacy Logic's total liability arising out of or related to these Terms or our services shall not exceed the total amount you paid to Legacy Logic in the twelve (12) months preceding the claim. In no event shall Legacy Logic be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities, even if we have been advised of the possibility of such damages.

10. Disclaimer of Warranties

Our services, including any AI-generated content, automations, or recommendations, are provided "as is" and "as available," without warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific business results from the use of our services.

11. Dispute Resolution and Governing Law

If a dispute arises, both parties agree to first attempt to resolve the issue through good-faith, direct discussion within thirty (30) days of written notice of the dispute. If the dispute cannot be resolved informally, it shall be resolved exclusively in the state or federal courts located in Nebraska, and both parties consent to the personal jurisdiction of those courts. These Terms are governed by the laws of the State of Nebraska, without regard to its conflict-of-law principles.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or for legal, operational, or regulatory reasons. We will post the updated Terms on our website with a revised effective date. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
